Successful Holding of Peking University Senior Seminar on Financial Law Practice (Insider Trading Special)

As of August 20, 2022, all the online courses of Peking University Senior Seminar on Financial Law Practice (Insider Trading Special) have been launched and the courses enter into the playback learning stage. For the special program, Professor Peng Bing of Peking University Law School, Mr. Zhang Baosheng, partner of Beijing Zhonglun Law Firm, Mr. Liu Siyuan, partner of Beijing Jingtian & Gongcheng Law Firm, and other experts with rich practical experience have been invited to deliver lectures covering professional topics such as legal liability for insider trading, risks and prevention of insider trading, investigation and defense of insider trading, etc.

Course Highlights

Pro. Peng Bing, based on the provisions of the Securities Law and other laws and regulations of China on insider trading, made a detailed review of the source of China's legal system for the prohibition of insider trading, definition of insider information, scope of subjects of insider trading, the behavior pattern of insider trading, and the calculation of illegal proceeds from insider trading by taking the typical cases of insider trading as a breakthrough point.

Mr. Zhang Baosheng clarified what insider trading and insider information are based on legal theories and the relevant provisions of the Securities Law of the PRC, and interpreted in details how to identify the presumptive rules and standards of proof for insider trading in practice. At the same time, he analyzed the reasons for the high incidence of insider trading cases from the perspectives of law enforcement, violators and internal supervision of the company based on hot cases in reality, and focused on how listed companies prevent the risks of insider trading and how lawyers provide valuable legal service to clients suspected of insider trading.

Based on real cases, Mr. Liu Siyuan explained how to properly respond to and avoid confrontation to the regulatory authorities in the investigation procedures and how to properly exercise lawful rights in the response process, and made in-depth understanding on how to deal with risks after their occurrence and how to effectively conduct defense from the technical level.

The insider trading special topic is a new special topic launched by Peking University Law School. By systematic training, the participants hope they can fully grasp the identification, liabilities and risk prevention of risks of insider trading so as to deal with the new problems, challenges and trends of insider trading.
