Joint PKU and Clifford Chance Offshore Private Funds Lecture Series Successfully Held

From May 7th to 12th, Joint PKU and Clifford Chance Offshore Private Funds Lecture Series was successfully held. Ms. Zhang Ying, an alumnus of Peking University's School of Foreign Languages from the class of 92, and the partner in charge of the fund and asset management practice of Clifford Chance in China, was the guest speaker. The event attracted more than 100 alumni and current students to participate, and the event was warmly received.

 

On the afternoon of May 7, Joint PKU and Clifford Chance's first lecture series of offshore private equity funds, the lecture theme is "An Introduction to Offshore Private Equity Funds". Ms. Zhang Ying sorted out the concept of fund and the characteristics and differences of different types of funds, introduced the definition, types, strategies, investors, organizational forms, cycles and design of fund structure and the main documents in related fields of offshore private equity funds, focusing on the structure of offshore private equity funds and the main legal documents, as well as the legal regulations of different extraterritorial countries' legislations on offshore private equity funds.

On the evening of May 11th, Peking University - Clifford Chance held the second lecture in the series of offshore private equity fund lectures. The topic was "Key Terms (PE Funds) and Underlying Rationale". Mr. Rafael Ratzel, Head of Overseas Business Department of Tsinghua Holdings Capital, was invited to participate in this seminar.

 

Ms. Zhang Ying explained in detail the design objectives and underlying logic of the fund's terms and conditions, and discussed three specific aspects of the fund, namely, the principle of consistency of interests, transparency to investors, and fund governance.

 

Mr. Rafael Ratzel shared his experience in investing and managing offshore private equity funds. Under the trend of long-term investment, lawyers need to have solid practical skills as well as develop long-term thinking. Under the background of gradual market specialization and globalization, offshore private equity fund business has a prosperous development prospect in the Asia-Pacific region, which is both an opportunity and a challenge, and he looks forward to more legal talents to participate in fund law practice in the future.

 

 

On the evening of May 12, the last lecture in the series of offshore private equity fund lectures of Peking University - Clifford Chance was successfully held, with the theme of "Negotiation Exercise (PE Funds)", which was conducted in the way of "content exposition + simulation negotiation". The topic was "Negotiation Exercise (PE Funds)", which was carried out in the way of "content exposition + negotiation simulation".

 

Ms. Zhang Ying introduced the restrictions on investment in overseas private equity funds, and clarified the main terms and conditions of the documents of overseas private equity funds, such as the target return, contributed capital and investment period for the students. In the simulation negotiation session, Ms. Zhang Ying focused on the process of each part of the offshore private equity fund and the difficulties and solutions that they may encounter, combined with the real fund terms in practice, guided the students to learn to look for the loopholes in the fund documents, analyze the causes of the loopholes and the solution countermeasures, to understand and master the negotiation of the offshore private equity fund, the process and the strategy skills, and to improve the negotiation ability of the private equity fund documents. The students learned to find the loopholes in the fund documents, analyze the causes of the loopholes and the solutions.

 

Afterwards, the students and Ms. Zhang Ying had a free discussion on the negotiation of offshore private equity funds, and Ms. Zhang Ying answered the students' confusions and doubts one by one and encouraged them to contact with the cutting-edge issues in the practical work, and experience the negotiation process of the offshore private equity funds in person, so as to accumulate more experience for the future study.

 

 

 

Joint PKU and Clifford Chance Offshore Private Funds Lecture Series is a concrete initiative of Peking University Law School to respond to the theme of Peking University's "Year of International Strategy" and to cultivate applied and complex foreign-related rule of law talents.
